These Terms of Service govern your use of Jugnu AI's WhatsApp business automation services in Pakistan.

1. Acceptance of Terms

By accessing and using Jugnu AI's services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you ("Client") and Jugnu AI ("Company", "we", "us", or "our").

If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.

2. Service Description

Jugnu AI provides WhatsApp Business API automation services including but not limited to:

  • Automated customer response systems
  • Lead generation and qualification
  • Sales funnel automation
  • Customer support chatbots
  • Integration with CRM and business systems
  • Analytics and reporting dashboards

3. Pricing & Payment Terms

3.1 Service Fees

Our pricing structure is based on the following tiers:

  • Starter Package: PKR 25,000/month - Up to 1,000 conversations
  • Business Package: PKR 50,000/month - Up to 5,000 conversations
  • Enterprise Package: PKR 100,000/month - Unlimited conversations
  • Custom Solutions: Pricing based on specific requirements

3.2 Payment Terms

  • All fees are quoted in Pakistani Rupees (PKR)
  • Monthly fees are payable in advance
  • Payment due within 7 days of invoice date
  • Late payment charges: 2% per month on overdue amounts
  • Accepted payment methods: Bank transfer, online banking, mobile wallets

3.3 Price Adjustments

We reserve the right to adjust pricing with 30 days written notice. Price increases will not exceed 15% annually unless due to significant changes in third-party costs or regulatory requirements.

4. Contract Duration

4.1 Minimum Contract Period

All service agreements require a minimum commitment of 12 months. This ensures:

  • Adequate time for system optimization and ROI realization
  • Stable pricing and service delivery
  • Comprehensive support and training

4.2 Contract Renewal

Contracts automatically renew for successive 12-month periods unless either party provides 60 days written notice of non-renewal.

4.3 Early Termination

Early termination within the minimum contract period requires:

  • 90 days written notice
  • Payment of 50% of remaining contract value
  • Settlement of all outstanding fees and costs

5. Setup & Implementation

5.1 Setup Charges

One-time setup and implementation fees:

  • Starter Package: PKR 15,000
  • Business Package: PKR 30,000
  • Enterprise Package: PKR 50,000
  • Custom Solutions: Based on complexity (PKR 25,000 - PKR 100,000)

5.2 Implementation Timeline

  • Standard implementation: 5-10 business days
  • Complex integrations: 15-30 business days
  • Timeline depends on client responsiveness and system complexity

5.3 Training & Support

Setup charges include:

  • System configuration and testing
  • Staff training (up to 4 hours)
  • Documentation and user guides
  • 30 days post-launch support

6. Third-Party API Costs

6.1 WhatsApp Business API

WhatsApp Business API costs are separate from our service fees:

  • Conversation-based pricing: As per Meta's current rates
  • Business-initiated conversations: Approximately PKR 15-25 per conversation
  • User-initiated conversations: Free for first 1,000/month, then charged
  • Template message costs: As per Meta's pricing structure

6.2 Facebook/Meta Integration

  • Facebook Business Manager setup: Included
  • Facebook Ads API integration: PKR 5,000 setup fee
  • Instagram integration: PKR 3,000 additional monthly fee

6.3 Additional API Costs

Third-party integrations may incur additional costs:

  • CRM integrations: PKR 2,000-10,000 setup
  • Payment gateway APIs: As per provider rates
  • SMS backup services: PKR 0.50-2.00 per SMS
  • Voice call integration: PKR 3-8 per minute

6.4 Cost Transparency

All third-party costs are passed through at actual rates with no markup. Monthly statements will detail all API usage and associated costs.

7. Client Obligations

7.1 Compliance Requirements

  • Comply with WhatsApp Business Policy and Commerce Policy
  • Adhere to Pakistan's data protection and privacy laws
  • Maintain valid business registration and licenses
  • Provide accurate business information for verification

7.2 Content Responsibility

  • Ensure all content is legal, accurate, and non-misleading
  • Obtain necessary permissions for promotional content
  • Respect customer privacy and consent requirements
  • Avoid spam, harassment, or inappropriate messaging

7.3 Technical Cooperation

  • Provide timely access to required systems and data
  • Designate authorized personnel for system management
  • Participate in training and onboarding sessions
  • Report issues and provide feedback promptly

8. Intellectual Property

8.1 Jugnu AI Property

All software, algorithms, methodologies, and proprietary technologies remain the exclusive property of Jugnu AI. Clients receive a limited, non-transferable license to use our services.

8.2 Client Data

Clients retain ownership of their business data, customer information, and content. We process this data solely to provide agreed services and maintain strict confidentiality.

8.3 Improvements & Feedback

Any improvements, suggestions, or feedback provided by clients may be incorporated into our services without compensation, while respecting client confidentiality.

9. Limitation of Liability

9.1 Service Availability

We strive for 99.5% uptime but cannot guarantee uninterrupted service due to factors beyond our control, including:

  • Third-party API limitations or outages
  • Internet connectivity issues
  • Scheduled maintenance windows
  • Force majeure events

9.2 Liability Limits

Our total liability for any claims shall not exceed the total fees paid by the client in the 12 months preceding the claim. We are not liable for:

  • Indirect, consequential, or punitive damages
  • Loss of profits, revenue, or business opportunities
  • Data loss due to client system failures
  • Third-party service interruptions

9.3 Indemnification

Clients agree to indemnify Jugnu AI against claims arising from:

  • Violation of these terms or applicable laws
  • Misuse of our services or platform
  • Infringement of third-party rights
  • Unauthorized access or data breaches on client systems

10. Termination

10.1 Termination for Cause

Either party may terminate immediately for:

  • Material breach of contract terms
  • Non-payment of fees after 30 days notice
  • Violation of platform policies
  • Insolvency or bankruptcy proceedings

10.2 Post-Termination

  • All outstanding fees become immediately due
  • Access to services will be suspended within 48 hours
  • Client data will be available for export for 30 days
  • Confidentiality obligations continue indefinitely

11. Governing Law

11.1 Jurisdiction

These terms are governed by the laws of Pakistan. Any disputes shall be resolved through:

  • Good faith negotiations (30 days)
  • Mediation through Pakistan Centre for Dispute Resolution
  • Arbitration under Arbitration Act 2016
  • Courts of Lahore, Pakistan (final resort)

11.2 Regulatory Compliance

Services comply with:

  • Pakistan Telecommunication Authority (PTA) regulations
  • State Bank of Pakistan (SBP) guidelines for fintech
  • Competition Commission of Pakistan rules
  • Personal Data Protection Act (when enacted)
